Welcome to SocialLoop. These Terms and Conditions ("Terms") govern your access to and use of the SocialLoop mobile application and website at socialloop.ai (collectively, the "Platform"), operated by Wise Being LLC ("SocialLoop," "we," "us," or "our").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

You must be at least 18 years of age to create an account and use SocialLoop. By using the Platform, you represent and warrant that you are at least 18 years old, are legally capable of entering into binding contracts, and are not prohibited from using the Platform under any applicable law.

4. Event Creation and Hosting

4.1 Host Responsibilities

If you create or host events on SocialLoop, you agree to:

  • Provide accurate and truthful event information (name, description, date, time, location, pricing)
  • Fulfill the event as described, or promptly notify attendees of any material changes or cancellations
  • Comply with all applicable local, state, and federal laws, including venue permits, capacity limits, liquor licenses, and safety regulations
  • Not create events that promote illegal activity, discrimination, harassment, or violence
  • Respond to attendee inquiries in a timely manner

4.2 Event Content

You are solely responsible for the content of your event listings, including text, images, and descriptions. SocialLoop does not endorse, verify, or guarantee the accuracy of any event listing. We reserve the right to remove any event listing that violates these Terms or that we deem inappropriate at our sole discretion.

5. Tickets and Payments

5.1 Ticket Purchases

  • Ticket purchases are processed by our third-party payment processor, Stripe. By purchasing a ticket, you agree to Stripe's terms of service.
  • All ticket prices are displayed in US dollars unless otherwise indicated. Applicable taxes and fees will be shown before you complete your purchase.
  • Once a ticket purchase is confirmed, you will receive a digital ticket accessible through the SocialLoop app or via email.

5.2 Refund Policy

  • Refund policies are set by individual event hosts. Please review the event's refund policy before purchasing a ticket.
  • If an event is cancelled by the host, attendees will receive a full refund.
  • SocialLoop is not responsible for refunds related to event quality, personal dissatisfaction, or failure to attend.
  • Disputes regarding ticket refunds should first be directed to the event host. If unresolved, contact us at support@socialloop.ai.

5.3 Platform Fees

SocialLoop may charge service fees on ticket purchases. Any applicable fees will be clearly displayed before you complete a transaction. Fee structures may change with prior notice.

6. SMS and Communications

6.1 Consent to Receive Messages

By providing your phone number through the SocialLoop platform, you expressly consent to receive SMS and MMS messages from SocialLoop, including:

  • Event invitation notifications from hosts who invite you to events
  • Event reminders and updates for events you've RSVP'd to
  • RSVP and ticket purchase confirmations
  • Account and security notifications

This consent is not a condition of purchasing any goods or services. You may opt out at any time as described below.

6.2 Message Frequency and Rates

Message frequency varies based on your event activity. You may receive up to 15 messages per month depending on event invitations and reminders. Message and data rates may apply. Supported carriers include all major US carriers.

6.3 Opt-Out

Reply STOP to any SMS message to unsubscribe. You will receive a one-time confirmation message and no further SMS messages will be sent. Reply START to re-subscribe. Reply HELP for support or contact support@socialloop.ai.

Opting out of SMS does not affect push notifications or email communications, which can be managed separately through app settings and email unsubscribe links.

6.4 Event Invitations

Event organizers may invite contacts to events through SocialLoop. When you receive an event invitation via SMS, the message is sent on behalf of the event organizer who initiated the invitation. Each message identifies the specific host and specific event. You may opt out of future messages at any time by replying STOP.

6.5 Host Responsibilities for Invitations

If you are an event host and invite contacts to your events through SocialLoop, you represent and warrant that:

  • You have an existing relationship with each contact you invite
  • Your use of the invitation feature complies with all applicable laws
  • You will not use the platform to send unsolicited messages to purchased or scraped contact lists

You agree to indemnify and hold harmless Wise Being LLC from any claims, damages, or liabilities arising from messages sent to contacts you provided, including but not limited to claims under the Telephone Consumer Protection Act (TCPA) or similar state and federal laws.

8. Intellectual Property

8.1 SocialLoop's Rights

The Platform, including its design, logos, trademarks, code, features, and content created by SocialLoop, is owned by Wise Being LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our prior written consent.

8.2 Your Content

You retain ownership of content you create on the Platform (event listings, profile information, photos). By posting content, you grant SocialLoop a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform. This license ends when you delete your content or account, except where your content has been shared with others who have not deleted it.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Wise Being LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, any event attended through the Platform, or any interactions with other users, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to SocialLoop in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

You agree to indemnify, defend, and hold harmless Wise Being LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing a formal dispute, you agree to first contact us at support@socialloop.ai and attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in San Francisco, California or remotely at your election. Each party shall bear its own costs, except as required by AAA rules.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
